Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Offszn Tech LLC, an Illinois limited liability company ("Offszn," "we," "us"), which operates the Offszn Education website and service at offszneducation.app, including its games, lessons, kiosk mode, emails, and related features (the "Service").

By creating an account, checking the box agreeing to these Terms, or using the Service, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Service.

If you accept these Terms for a business or organization, such as a child care center, you confirm you have authority to bind it, and "you" includes that organization.

2. Who can use Offszn Education

2.1 Account holders are adults

Only adults 18 or older may create a parent, teacher, or center account. There are three kinds of account holder:

• Parents and legal guardians, who create and manage profiles for their own children.
• Teachers, who enroll students in classrooms and assign work.
• Child care centers and their invited staff, who add children to a center roster and let them sign in on shared devices through kiosk mode.

2.2 Children use the Service through an adult

The Service is designed for children in kindergarten through 8th grade. Children may not create their own accounts. A child may only use the Service through a profile set up by a parent or guardian, or by a teacher or center that has the parent's permission as described below. We handle children's information as described in the Children's Privacy Notice.

2.3 Teachers and centers must have parental permission

If you are a teacher or a center and you add or enroll a child, you represent and warrant that:

• you have obtained the child's parent's or legal guardian's written consent for the child to use the Service and for us to collect and use the child's information as described in our Privacy Policy, before adding the child;
• you will keep that consent on file and give it to us on request;
• you will promptly tell us, and remove the child, if a parent withdraws consent or asks you to delete the child's information; and
• you will add only the information the Service asks for, and only for the child's education and care.

We provide a parent consent form template that centers and teachers may use. A center or teacher that adds a child without the required consent is responsible for that failure under Section 11.

3. Your account and security

• Give accurate information and keep it up to date.
• Keep your password, your children's passwords, kiosk PINs, and your center's kiosk link private. Anyone with the kiosk link can see the first names on your center's roster.
• You are responsible for activity under your account and the profiles you manage. Tell us right away at offszntech@gmail.com if you suspect unauthorized access.
• Center accounts are responsible for the staff they invite and for removing staff who leave.

4. Subscriptions, trials, and automatic renewal

4.1 Plans

Offszn Education offers a free plan and paid plans. The current plans, features, and prices are shown on our pricing and sign-up pages and at checkout. Prices are in U.S. dollars and do not include any applicable taxes.

• Free plan: one child profile, with the features listed on the pricing page, at no charge.
• Premium (families and teachers): billed monthly or annually.
• Child care center plans: billed monthly or annually, beginning with a free trial.

4.2 Automatic renewal

4.3 Free trials

If your plan includes a free trial (for example, the 7-day trial for child care centers), you will provide a payment method when you start the trial. When the trial ends, your paid subscription starts automatically and you will be charged unless you cancel before the trial ends. The trial length and the date of your first charge are shown at checkout.

4.4 Payments

Payments are processed by our payment processor, Stripe. By subscribing you authorize us, through Stripe, to charge your payment method for each billing period until you cancel. If a payment fails, we may retry it, and we may suspend paid features until the balance is paid.

4.5 Promotions and price changes

Promotional codes and discounts apply only as stated when offered. If we change the price of your plan, we will give you notice by email at least 30 days before the new price applies to your next renewal. If you do not want to pay the new price, you may cancel before it takes effect.

4.6 Plan changes

You can switch between monthly and annual billing, or change plans, from the same Manage Subscription / Manage billing page. Any proration or credit is calculated and shown by Stripe when you make the change.

5. Cancellation and refunds

5.1 How to cancel

You can cancel at any time, online, without contacting us:

• Families and teachers: sign in to the parent account that pays for Premium, go to Settings → Manage Subscription, and choose Cancel.
• Child care centers: sign in to your center dashboard, click Manage billing / cancel, and choose Cancel.

You can also email offszntech@gmail.com and we will cancel for you. After you cancel, your subscription will not renew and you keep paid access until the end of the current billing period. Your account then moves to the free plan (families) or becomes inactive (centers).

5.2 7-day money-back guarantee

If you are not satisfied, email us within 7 days after your first paid charge for a subscription and we will refund that charge in full. For centers, the 7 days start on the first charge after the free trial.

5.3 No other refunds

Except for the guarantee above or where the law requires otherwise, payments are non-refundable, and we do not give refunds or credits for partial billing periods, unused time, or features you did not use. Nothing in these Terms limits any refund right you have under applicable law.

6. Acceptable use

You agree not to, and not to let anyone else:

• use the Service for anything unlawful, or to harm, harass, or exploit children or anyone else;
• add a child's information without the authority described in Section 2, or add more information about a child than the Service asks for;
• share account credentials, kiosk PINs, or kiosk links beyond the people who need them;
• copy, scrape, resell, or redistribute the games, lessons, questions, audio, or other content;
• interfere with or disrupt the Service, probe or bypass its security, or access it by automated means, except as we expressly allow; or
• reverse engineer the Service, except where the law permits it despite this restriction.

7. Content and intellectual property

7.1 Our content

The Service and its games, lessons, questions, artwork, audio, software, and trademarks are owned by Offszn or its licensors and are protected by law. While your account is in good standing, we give you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, family, classroom, or child care purposes under these Terms.

7.2 Children's creations

Some activities let children create things, such as drawings in the art gallery. Those creations remain the child's and are shown only within that child's own gallery. You give us a limited license to store and display them to the child and the account holder only to provide the Service. They are deleted when the child's profile is deleted.

7.3 Feedback

If you send us suggestions or feedback, we may use them without any obligation to you.

8. Educational content

We work to make our content accurate and aligned to grade-level learning standards. However, the Service is a learning supplement and is not a substitute for a child's teacher, school, or professional educational, medical, or developmental advice. Progress reports and skill levels are estimates based on activity in the Service.

9. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Offszn disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law: (a) Offszn will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill; and (b) Offszn's total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim arose, or one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain of these limits, so they may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Offszn and its members, employees, and contractors from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or your violation of these Terms. For teachers and centers this includes adding a child without the parental consent required by Section 2.3.

12. Suspension and termination

You may stop using the Service and close your account at any time by emailing offszntech@gmail.com. Parents can also delete a child's profile and data from the child's settings page.

We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that could harm children, other users, or us. Where reasonable, we will give notice first. If we terminate a paid subscription without cause, we will refund the unused portion of the prepaid period.

What happens to data after an account or profile is closed is described in our Privacy Policy. Sections 7, 9, 10, 11, and 13 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Before filing a claim, please contact us at offszntech@gmail.com so we can try to resolve it informally within 30 days.

Any claim that is not resolved informally must be brought in the state or federal courts located in Illinois, and you and Offszn consent to their personal jurisdiction. Either party may bring an eligible claim in small claims court instead. This section does not take away any consumer protection right that the law of your home state says cannot be waived.

14. Changes to these Terms

We may update these Terms as the Service changes. If we make material changes, we will update the effective date and version above, notify account holders by email or in the Service, and ask you to accept the updated Terms the next time you sign in. Changes do not apply retroactively. If you do not agree to updated Terms, stop using the Service and cancel your subscription.

Other terms

These Terms and the Privacy Policy are the entire agreement between you and Offszn about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you. The English version of these Terms controls over any translation.
